INDEPENDENT CONTRACTOR FIXED‑PRICE SERVICES AGREEMENT
This Independent Contractor Fixed‑Price Services Agreement (the “Agreement”) is made as of _____________ (“Effective Date”), by and between:

1. Scope of Work
Contractor shall furnish all labor, supervision, tools, equipment, and materials necessary to complete the following work (the “Work”):
The Work shall be performed in a good and workmanlike manner, consistent with industry standards and all applicable laws, codes, and manufacturer specifications.
2. Schedule, Regular Attendance, and Completion

2.3 Regular Presence Requirement. Contractor shall be present and actively working on the Project no fewer than ___ days per week (excluding lawful holidays, weather delays, or delays approved in writing by Owner) from start until final completion.

2.5 Delays. Contractor shall promptly notify Owner in writing of any event that may delay performance. Unexcused absences or failure to maintain regular progress shall constitute a material breach.
3. Contract Price and Payment Terms

3.2 No Cost Overruns. The Contract Price is firm and not subject to increase for any reason, including underestimated labor or materials, except by a written change order signed by both Parties.

4. Change Orders (Strictly Limited)
Any change to the scope, schedule, or price must be documented in a written change order describing the change and its cost/time impact and must be signed by both Parties before the changed work begins. Oral changes are void.
5. Clean‑Up and Protection of Property
5.1 Daily Clean‑Up. Contractor shall keep the Project site reasonably clean at the end of each workday and shall remove debris, trash, and unused materials.
5.2 Final Clean‑Up. Upon completion, Contractor shall leave the site broom‑clean and free of debris.
5.3 Damage. Contractor shall promptly repair or replace, at Contractor’s expense, any damage caused by Contractor or its workers.
6. Personnel, Lawful Employment, and Insurance
6.1 Qualified Workers Only. Contractor warrants that all workers are properly trained, legally authorized to work, and competent to perform the Work.
6.2 Independent Contractor Status. Contractor is solely responsible for wages, taxes, benefits, and supervision of its workers.
6.3 Workers’ Compensation & Insurance. Contractor shall maintain, at its own expense:
Workers’ Compensation insurance as required by law;
General Liability insurance with minimum limits of $______________ per occurrence;
Any other insurance required by law or reasonably requested by Owner.
Certificates of insurance naming Owner as an additional insured shall be provided before work begins.
6.4 Compliance with Hiring Laws. Contractor represents and warrants compliance with all federal and state employment laws, including lawful hiring and verification requirements.
6.5 Background & Safety Standards. To the extent permitted by law, Contractor shall ensure workers assigned to the Project meet reasonable safety and conduct standards appropriate for work at a private residence or jobsite.
7. Quality of Work and Correction
7.1 Standard of Care. Work shall meet or exceed generally accepted industry standards.
7.2 Correction of Defective Work. Contractor shall promptly correct, at no cost to Owner, any defective or non‑conforming work.
7.3 Warranty. Contractor warrants the Work for a period of ___ months from final completion.
8. Inspections and Approval
Owner may inspect the Work at reasonable times. Payment does not constitute acceptance of defective work.
9. Termination
9.1 For Cause. Owner may terminate this Agreement upon written notice if Contractor fails to maintain regular progress, violates this Agreement, or performs substandard work and fails to cure within ___ days.
9.2 Effect of Termination. Owner shall pay only for properly completed work accepted as of the termination date, less damages and retainage.
10. Lien Waivers
Contractor shall provide conditional and final lien waivers from itself and all subcontractors or suppliers as a condition of payment.
